Your new company A prominent banking group is looking for a seasoned Company Secretary to lead and oversee its co-sec function. Your new role • Serve as Named Company Secretary, ensuring full compliance with statutory and regulatory requirements. • Advise the Board and senior management on corporate governance and banking regulatory matters. • Manage company secretarial functions within a banking/financial services environment, ensuring compliance with frameworks such as HKMA regulations. • Organise and attend Board, Committee, and General Meetings; prepare agendas, papers, and minutes. • Oversee statutory filings, regulatory submissions, and maintain corporate records and registers. • Liaise with regulators, auditors, legal counsel, and other external stakeholders. • Monitor regulatory and governance developments and advise on their impact. • Support corporate actions (e.g., restructuring, share changes, director/shareholder updates). • Enhance governance policies, compliance frameworks, and risk management practices. • Collaborate with Legal, Compliance, Risk, and Finance teams on regulatory matters.
